In this section you can find reports furnished and filed by Rostelecom with the U. S. Securities and Exchange Commission (SEC) via its Electronic Data Gathering, Analysis and Retrieval system (EDGAR) in accordance with the U.S. legislation.
Reports filed with the Federal Service for Financial Markets (FSFM) of Russia are available in Russian. However these reports are also furnished to SEC (via EDGAR) as Form 6-Ks.
Rostelecom as a foreign private issuer uses Form 20-F as an annual report filed pursuant to Section 13 (a) or 15 (d) of the Securities Exchange Act of 1934 (referred to as the Exchange Act). The term «foreign private issuer» is defined in Rule 3b-4 under the Exchange Act.
Rostelecom must file its annual report on Form 20-F within six months after the end of the fiscal year covered by the report. The end of the fiscal year is December 31, so the latest possible filing date for Form 20-F is June 30.
The contents of the Form 20-F are regulated by the General Rules and Regulations under the Securities Act of 1933 (referred to as the Securities Act), as well as by Regulation 12B under the Exchange Act, General Instruction F and Regulation S-X. Form 20-F also includes certifications required by Rule 13a-14 (17 CFR 240.13a-14) or Rule 15d-14 (17 CFR 240.15d-14).
Rostelecom provides all shareholders and ADRholders the ability, upon request, to receive hard copy of the Company's annual report on Form 20-F filed with SEC and complete audited financial statements free of charge.
